Welcome to the Terms of Service (the "Terms" or "Agreement") for the website operated by Weldun, Inc. ("Weldun," "we," "us," or "our") at weldun.co (the "Site"). The Site and any content, tools, features, and functionality offered on or through the Site, including any products available for purchase, are collectively referred to as the "Services."
These Terms govern your access to and use of the Services. Please read these Terms carefully, as they include important information about your rights and responsibilities. By accessing and/or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services.
Weldun may update these Terms from time to time in accordance with Section 13.3. When changes are made, Weldun will post the revised Terms on the Site with an updated "Last Modified" date. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms.
For purposes of these Terms, "you" and "your" means the person or entity using the Services. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” will refer to that entity. “Party" or "Parties" refers to one or both of the parties to this Agreement, respectively.
DISPUTES ABOUT THESE TERMS OF SERVICE AND THE SERVICES ARE SUBJECT TO BINDING ARBITRATION AND CLASS ACTION WAIVER AS SET FORTH IN SECTION 12 BELOW.
1. USING THE SERVICES
1.1. Eligibility. To use the Services, you must be at least eighteen (18) years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms, or, if you are a legal entity, be duly organized and in good standing under applicable law.
1.2. The Services. Weldun operates an online retail platform that offers adaptive clothing, accessories, and other products designed with accessibility in mind (each, a "Product" and collectively, "Products"). Products are sourced from third-party brands and manufacturers and are fulfilled through a drop-ship model, meaning that in most cases, Products are shipped directly from the applicable brand partner or supplier to you. Weldun does not typically take physical possession, inspect, warehouse, or handle Products prior to delivery to you, unless otherwise expressly indicated on the Site. All purchases are made directly from Weldun, and Weldun is the seller of record for all transactions completed through the Site. Subject to Section 2.3, transactions are completed at the price displayed at the time of purchase, plus applicable taxes and shipping charges.
1.3. Use. We hereby permit you to use the Services for your own internal or personal use (but not for resale), provided that you comply with these Terms. If any software, content, or other materials owned or controlled by us are distributed to you as part of your use of the Services, we hereby grant you a non-assignable, non-sublicensable, non-transferable, and non-exclusive right and license to access and display such software, content, and materials provided to you as part of the Services, solely for the purpose of enabling you to use the Services as permitted by these Terms.
1.4. Restrictions. You agree not to, and will not permit others to: (i) copy the Site or create derivative works based on the Services; (ii) share access to the Services with any third party without our permission; (iii) use the Services on behalf of any third party except as expressly permitted by us; (iv) incorporate the Services into any other software, product, or service offering; (v) interfere with or circumvent any security, performance, or usage-limiting features of the Services; (vi) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or logic of the Services, except as expressly permitted by applicable law and only upon prior written notice; (vii) remove, obscure, or alter any proprietary notices, disclaimers, or branding appearing in the Services; (viii) use the Services for competitive analysis or to develop a competing product or service; (ix) use the Services for illegal, harassing, bullying, unethical, disruptive, or obscene, violent, harmful, threatening, or criminal purposes; (x) use any automated system, bot, scraper, or similar technology to access the Services for any purpose without our express written permission; or (xi) encourage or assist any third party in any of the foregoing activities.
1.5. Accessibility. Weldun is committed to making the Site and Services accessible to all users, including individuals with disabilities. We endeavor to conform the Site to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, published by the World Wide Web Consortium (W3C). If you experience any difficulty accessing any part of the Site or Services, please contact us at hello@weldun.co so that we can work to provide the information or service you need through an alternative accessible method.
2. PRODUCTS AND ORDERS
2.1. Product Descriptions. We strive to provide accurate descriptions, images, and pricing for all Products listed on the Site. However, we do not warrant that Product descriptions, images, pricing, or other content on the Site are accurate, complete, reliable, current, or error-free. Colors and appearances of Products may vary depending on your device settings. If a Product you receive is materially different from its description on the Site, your sole remedy is to return the Product in accordance with our return policy.
2.2. Drop-Ship Fulfillment. Most Products sold through the Site are fulfilled by our third-party brand partners and suppliers through a drop-ship arrangement. This means that when you place an order, the applicable brand partner or supplier ships the Product directly to you. While Weldun is the seller of record and is responsible for customer service related to your purchase, the physical handling, packaging, and shipment of the Product is performed by the applicable brand partner or supplier. Weldun does not inspect Products prior to shipment unless otherwise indicated.
2.3. Order Acceptance. Your placement of an order through the Site constitutes an offer to purchase the applicable Product(s). All orders are subject to acceptance by Weldun. We reserve the right to refuse, cancel, or limit any order for any reason, including but not limited to: product availability, errors in product or pricing information, suspected fraud, or issues identified by our payment processor. If we cancel an order after your payment method has been charged, we will issue a refund to your original payment method.
2.4. Shipping and Delivery. Weldun currently ships only within the United States. Estimated shipping times are provided on the Site but are not guaranteed. Delivery timelines may vary depending on the fulfilling brand partner or supplier, your location, and carrier conditions. Risk of loss and title for Products pass to you upon delivery to the carrier. Weldun is not liable for delays caused by carriers, weather, customs, or other circumstances beyond our reasonable control.
2.5. Returns and Exchanges. Returns and exchanges are processed through our designated returns management partner in accordance with Weldun's return policy as posted on the Site. You are responsible for reviewing the applicable return policy before completing a purchase. Certain Products may be designated as final sale and are not eligible for return or exchange. Refunds, if applicable, will be issued to your original payment method, less any applicable restocking fees, and processed within the timeframe specified in our return policy.
3. PAYMENT
3.1. Payment Processing. All payments for Products purchased through the Site are processed by our designated third-party payment processor. By placing an order, you authorize Weldun and its payment processor to charge your selected payment method for the total amount of your order, including the purchase price, applicable taxes, and shipping charges.
3.2. Payment Information. Your full payment card information is collected and processed directly by our payment processor and is not stored on Weldun's systems. Weldun may have access to limited payment details, such as the type of payment card used and the last four digits of the card number, for order management and customer support purposes. You represent and warrant that you have the legal right to use the payment method you provide.
3.3. Pricing and Taxes. All prices displayed on the Site are in U.S. dollars unless otherwise indicated. Prices are subject to change without notice. Applicable sales taxes will be calculated and added at checkout based on your shipping address and applicable state and local tax requirements. You are responsible for all taxes associated with your purchases.
4. YOUR CONTENT AND ACCOUNTS
4.1. Privacy Protection. Our Privacy Policy, available at https://weldun.co/pages/privacy-policy, explains how we collect, use, and protect your personal information when you use the Services. You acknowledge that you have read and agree to our Privacy Policy.
4.2. Information We Collect. In connection with your use of the Services, we may collect the following categories of information: (a) your name, email address, physical address, and phone number (used for order fulfillment, shipping labels, and customer communications); (b) limited payment information as described in Section 3.2; (c) information about your shopping preferences and product interests within the accessibility space, including but not limited to preferences related to adaptive features such as easy on/off functionality, sensory-considered design, healing and recovery needs, and similar accessibility-related attributes (collectively, "Accessibility Preference Data"); and (d) browsing behavior, interaction data, and other usage information related to your use of the Site. You acknowledge that Accessibility Preference Data may be considered sensitive personal information under applicable privacy laws. Our collection, use, and processing of Accessibility Preference Data is governed by our Privacy Policy, which describes the legal bases and, where required by applicable law, the consent mechanisms for such processing. We store Accessibility Preference Data in your customer profile to personalize your shopping experience and improve our product offerings.
4.3. Aggregate and De-Identified Data. You acknowledge and agree that Weldun may aggregate and/or de-identify data collected from or about you and other users of the Services such that it no longer identifies or is reasonably linkable to any individual ("Aggregate Data"). Weldun owns all right, title, and interest in Aggregate Data and may use, share, publish, license, sell, or otherwise exploit Aggregate Data for any purpose, including but not limited to: (i) working with brand partners and suppliers to develop and improve products for the accessibility community; (ii) developing Weldun's own products; (iii) conducting market research and analysis; (iv) generating industry insights and reports; and (v) any other lawful commercial purpose, without restriction, obligation, or compensation to you. For the avoidance of doubt, Aggregate Data is not subject to any restrictions that apply to personal information under these Terms or our Privacy Policy.
4.4. Security. We will maintain commercially reasonable administrative, physical, and technical safeguards to protect personal information collected through the Services against unauthorized access, disclosure, alteration, or destruction, in accordance with applicable data protection laws.
4.5. Your Content Ownership. You retain all ownership rights in and to all data, information, reviews, photographs, and other content that you submit or upload through the Services ("Your Content"). These Terms do not grant us any ownership interest in Your Content. You grant us a limited, non-exclusive, royalty-free, worldwide right to access, use, reproduce, transmit, display, publish, distribute, modify, and process Your Content as necessary to operate, provide, maintain, and improve the Services, and to contact you or assist with customer support.
By submitting or uploading Your Content through the Services, you represent and warrant that you have all rights, licenses, consents, and authority necessary to grant the rights herein for Your Content. You agree that Your Content will not contain material that infringes the rights of any third party or any obscene or offensive imagery or descriptions. We reserve the right to remove Your Content in our sole discretion.
4.6. Account Information. To make purchases or access certain features of the Services, you may need to create an account. You agree to provide accurate, complete, and updated information for your account. You are responsible for any activity on your account and for keeping your password secure. We are not liable for any acts or omissions caused by you in connection with your account. We may remove or suspend your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination or suspension of your account: (a) your right to access and use the Services will immediately cease; (b) we will cancel any pending orders that have not yet shipped and issue a refund for any amounts charged for such cancelled orders; (c) you will remain liable for any amounts owed to us prior to termination; and (d) your rights under Sections 4.5 (Your Content Ownership), 10 (Indemnification), 11 (Limitation of Liability), 12 (Mandatory Arbitration and Class Action Waiver), and 13.13 (Survival) will survive.
You agree to notify us immediately at hello@weldun.co if you know or suspect that your account or password have been stolen, misappropriated, or otherwise compromised, or in the event of any actual or suspected unauthorized use of your account.
4.7. Children’s Privacy. The Services are not directed to children under the age of thirteen (13), and Weldun does not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13 without verifiable parental consent, we will take steps to delete such information promptly. If you believe that a child under 13 has provided us with personal information, please contact us at hello@weldun.co.
4.8. Your Privacy Rights. Depending on your state of residence, you may have certain rights with respect to the personal information we collect about you, including the right to access, correct, delete, or port your personal information, and the right to opt out of certain processing activities. To exercise any applicable privacy rights, please refer to our Privacy Policy or contact us at hello@weldun.co. We will not discriminate against you for exercising your privacy rights.
5. ARTIFICIAL INTELLIGENCE AND PERSONALIZATION
5.1. AI-Powered Features. The Services may (now or in the future) incorporate artificial intelligence ("AI") and machine learning technologies to enhance your experience. These features may include, without limitation: (a) customer service chatbots and virtual assistants; (b) smart search functionality to help you find Products suited to your needs; (c) personalized product recommendations, landing pages, and content based on your browsing history, purchase history, and Accessibility Preference Data; and (d) operational tools used by Weldun to improve efficiency, product curation, and overall service quality. Not all AI-powered features described in this Section may be available at any given time. Weldun reserves the right to introduce, modify, suspend, or discontinue any AI-powered feature at any time without prior notice. Your continued use of the Services following the introduction or modification of any AI-powered feature constitutes your acceptance of such feature.
Weldun does not use AI-powered features to make automated decisions by or on behalf of Weldun that produce legal effects or similarly significant effects concerning you, including decisions relating to eligibility, account access, or order processing, without meaningful human review.
5.2. Third-Party AI and Technology Partners. Certain AI and search features may be provided in collaboration with third-party technology partners. Your use of such features may be subject to additional terms and privacy practices of those third-party partners, which we will make available to you as applicable.
5.3. No Guarantee of Accuracy. While we strive to provide helpful and accurate AI-powered features, AI-generated content, recommendations, and search results are provided for informational and convenience purposes only. Weldun does not guarantee the accuracy, completeness, or reliability of any AI-generated output. You should exercise your own judgment when relying on any AI-generated content or recommendations provided through the Services.
5.4. Data Use for Personalization. Weldun uses your browsing behavior, purchase history, and Accessibility Preference Data to personalize your experience on the Site, including the display of personalized landing pages, product recommendations, and search results. Where required by applicable law, Weldun will obtain your consent before using Accessibility Preference Data for personalization, as further described in our Privacy Policy. You may manage certain personalization preferences through your account settings where available.
6. COOKIES AND TRACKING TECHNOLOGIES
6.1. Use of Cookies. The Site uses cookies, pixels, and similar tracking technologies to operate and improve the Services, analyze usage patterns, personalize your experience, and support our marketing efforts. By using the Site, you consent to the use of cookies and similar technologies as described in our Privacy Policy and any cookie consent preferences you set through the Site's cookie banner.
6.2. Managing Cookies. You may manage your cookie preferences through the cookie banner displayed on the Site or through your browser settings. Please note that disabling certain cookies may affect the functionality of the Services and your ability to access certain features.
7. INTELLECTUAL PROPERTY
7.1. Weldun Intellectual Property. These Terms grant you the right to access and use the Services, but do not convey any license or ownership interest in any underlying software. Weldun and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property, technologies, interfaces, documentation, Aggregate Data, and content.
7.2. Feedback. We welcome any suggestions, ideas, improvements, or recommendations provided by you relating to Weldun, our Services, or the functionality of our Services ("Feedback"). By submitting any Feedback, you agree that we may use such Feedback without restriction. You assign to us all rights, title, and interest in and to any Feedback you submit. Where assignment is not permitted by law, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and incorporate your Feedback into the Services or other products without compensation or attribution. We are under no obligation to use or act on any Feedback.
8. PRODUCT DISCLAIMERS
8.1. General Product Disclaimer. Products available through the Services are provided by third-party brand partners and manufacturers. Weldun is not the manufacturer of any Products sold through the Site (unless expressly indicated otherwise) and does not independently verify the safety, quality, efficacy, or suitability of any Product for any particular purpose. Product descriptions, specifications, and imagery are provided by the applicable brand partner or manufacturer and are presented for informational purposes only.
8.2. Not Medical Advice; Not a Medical Device. Weldun is not a medical professional, healthcare provider, or licensed therapist. The Products available through the Services may include features designed with accessibility in mind (such as adaptive closures, sensory-considered fabrics, or designs for healing and recovery), but nothing on the Site or in the Services constitutes medical advice, diagnosis, treatment recommendation, or a substitute for professional medical judgment. You should consult with a qualified healthcare professional before using any Product if you have specific medical conditions, physical limitations, or health concerns. Products sold through the Site are clothing and accessories. They are not medical devices, are not cleared or approved by the U.S. Food and Drug Administration, and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Products are also not assistive technology, durable medical equipment, or substitutes for any medically prescribed device or aid.
8.3. Specific Product Warnings. Certain Products contain magnets or magnetic closures. Magnets may interfere with the operation of pacemakers, implanted cardioverter-defibrillators, and other implanted medical devices. If you have an implanted medical device, consult your physician before purchasing or using any Product that contains magnets. In addition, Products may contain small parts, elastic materials, or other features that may pose risks to individuals with allergies, sensitivities, or other health conditions. It is your responsibility to review all Product descriptions, warnings, labels, and any accompanying documentation before use. Weldun disclaims any liability for adverse reactions, injuries, or damages resulting from the use or misuse of any Product, including but not limited to interactions with medical devices, allergic reactions, or failure to follow product care instructions or warnings.
8.4. Third-Party Products. Weldun does not warrant, endorse, or assume liability for any Product sold through the Site. Any warranties associated with a Product are provided solely by the applicable manufacturer or brand partner, and you should contact the manufacturer directly for warranty claims. To the fullest extent permitted by law, Weldun disclaims all warranties, express or implied, with respect to any Product, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.5. Product Recalls and Safety Notices. If Weldun becomes aware that a brand partner or manufacturer has issued a voluntary or mandatory recall, safety alert, or similar notice affecting a Product sold through the Site, Weldun will use commercially reasonable efforts to notify affected customers using the contact information associated with their accounts. Weldun is not responsible for, and does not independently verify, the content or accuracy of any recall or safety notice issued by a third-party brand partner or manufacturer. It is your responsibility to monitor publicly available recall databases (such as the U.S. Consumer Product Safety Commission at cpsc.gov) and to follow any instructions provided by the applicable manufacturer.
9. DISCLAIMER OF WARRANTIES
9.1. Disclaimer of Warranties. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELDUN SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR QUIET ENJOYMENT. WELDUN MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR MEET YOUR EXPECTATIONS. THE FOREGOING DISCLAIMER DOES NOT LIMIT WELDUN’S EXPRESS OBLIGATIONS UNDER SECTION 4.4 (SECURITY). WELDUN DOES NOT GUARANTEE THAT ANY ORDER WILL BE EXECUTED, CONFIRMED, OR FULFILLED. YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY REPRESENTATIONS OR WARRANTIES NOT EXPRESSLY SET FORTH IN THESE TERMS.
10. INDEMNIFICATION
10.1. Indemnification. You agree to indemnify, defend, and hold harmless Weldun, its affiliates, and each of their respective officers, directors, employees, contractors, agents, and representatives from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and any fines or penalties imposed by a regulatory authority) arising out of or related to: (i) your breach of these Terms; (ii) your use of the Services in violation of any applicable law, regulation, or third-party right; (iii) any content or data you provide through the Services that infringes or misappropriates the rights of a third party; or (iv) your misuse of any Product purchased through the Services in a manner not consistent with its labeling, instructions, or intended purpose.
11. LIMITATION OF LIABILITY
11.1. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WELDUN, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR REPRESENTATIVES BE LIABLE: (I) FOR ANY AMOUNT EXCEEDING THE TOTAL AMOUNTS PAID BY YOU TO WELDUN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER; OR (II) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WELDUN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR THE REMEDY OTHERWISE FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.
11.2. Essential Basis for the Bargain. YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS OF LIABILITY ARE AN ESSENTIAL PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND WELDUN AND THAT WELDUN WOULD NOT PROVIDE THE SERVICES TO YOU WITHOUT YOUR AGREEMENT TO THESE LIMITATIONS.
12. MANDATORY ARBITRATION AND CLASS ACTION WAIVER
12.1. Dispute Resolution. If there is a dispute about the interpretation of this Agreement, the performance of either Party under this Agreement, or otherwise relating to this Agreement, the Parties will follow the following procedures before going to arbitration or litigation. First, the Parties will try to resolve the dispute informally. Either Party can start this process by sending the other a written notice (a "Notice") identifying the issues in dispute. A telephone or video conference between the Parties will be held within ten (10) business days after the delivery of the Notice to discuss and attempt to resolve the dispute. If the Parties are unable to reach a resolution, either Party may refer the dispute to binding arbitration under the arbitration provisions set forth below.
All claims or disputes between the Parties arising out of or relating to this Agreement will be decided by arbitration under the then-current Consumer Arbitration Rules of the American Arbitration Association (“AAA”) and in accordance with Title 9 of the United States Code, unless the Parties mutually agree otherwise in writing. Notice of the demand for arbitration must be filed, in writing, with the other Party and must be made within a reasonable time after the dispute has arisen. All statutes of limitation, which would otherwise be applicable in a judicial action, will apply. The arbitration will be decided by a single arbitrator selected under the Consumer Arbitration Rules of the AAA. Arbitration will be initiated in New York, New York, or, at your election, in the county where you reside. Weldun will pay all AAA filing, administration, and arbitrator fees beyond the initial filing fee applicable to consumer claims, except as otherwise provided by the AAA Consumer Arbitration Rules. The arbitrator’s award will be final, and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction. Except by the written consent of both Parties, no arbitration arising out of or relating to this Agreement may include, by consolidation, joinder or in any other manner, any person or entity not a party to this Agreement. This arbitration agreement will be specifically enforceable under applicable law in any court having jurisdiction thereof. Neither Party will appeal such award nor seek review, modification, or vacation of such in any court or regulatory agency.
The arbitrator will award to the prevailing Party, if any, as determined by the arbitrator, all of its Costs and Fees. "Costs and Fees" mean all reasonable pre-award expenses of the arbitration, including the arbitrator’s fees, administrative fees, travel expenses, out-of-pocket expenses (such as copying and telephone), costs of confirming or enforcing the award, witness fees, and attorneys' fees.
12.2. Class Action Waiver. YOU AND WELDUN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. IF THIS SPECIFIC PROVISION IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID.
13. MISCELLANEOUS
13.1. Authority. You represent that you have full authority to enter into these Terms. If you are accepting these Terms on behalf of a legal entity, you represent that you are duly authorized to bind that entity. Weldun represents that it has full authority to enter into these Terms and bind itself to their terms.
13.2. Governing Law and Jurisdiction. These Terms will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Subject to Section 12 (Mandatory Arbitration and Class Action Waiver), any legal action or proceeding not subject to arbitration under Section 12, or any proceeding to confirm or enforce an arbitral award, shall be brought exclusively in the state or federal courts of appropriate jurisdiction located in New York, New York, and each Party irrevocably consents to the jurisdiction and venue of such courts.
13.3. Amendment; No Waiver. Weldun may update these Terms at any time by posting the revised Terms on the Site at least thirty (30) days before changes take effect, unless changes are required by applicable law, regulation, or Weldun's payment processing partners, in which case shorter notice may be provided. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services before the effective date. No delay in exercising any right or remedy or failure to object will be a waiver of such right or remedy or any other right or remedy. A waiver on one occasion will not be a waiver of any right or remedy on any future occasion. No waiver of any right or remedy under these Terms will be effective unless made in writing by an authorized representative of Weldun.
13.4. Force Majeure. Except for payment obligations, neither Party will be responsible for failure or delay of performance if caused by: an act of war, hostility, or sabotage; act of God; electrical, internet, or telecommunication outage not caused by the obligated party; government restrictions; pandemic; or other event outside the reasonable control of the obligated party. Each Party will use reasonable efforts to mitigate the effect of a force majeure event.
13.5. Relationship of the Parties. You and we agree that no joint venture, partnership, employment, or agency relationship exists between us.
13.6. Compliance with Laws. We will comply with all applicable U.S. federal and state laws in our operation of the Services. We reserve the right to disclose any information as necessary to comply with legal obligations, including laws, regulations, legal processes, or government requests.
13.7. Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be replaced by a valid and enforceable provision that most closely reflects the intent of the original, and the remainder of these Terms will remain in full force and effect.

13.9. Entire Agreement. These Terms, including our Privacy Policy, constitute the entire agreement between you and Weldun regarding the Services. They supersede all other prior and contemporaneous proposals, agreements, or understandings, whether oral, written, or electronic. We expressly object to and reject any additional or conflicting terms you propose. Our obligations are not contingent upon the delivery of any future functionality or features unless expressly agreed to in writing.
13.10. Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Weldun. We may assign these Terms without restriction in connection with a merger, reorganization, change of control, or asset sale. Any purported assignment in violation of this Section is void.
13.11. No Third-Party Beneficiaries. Nothing in this Agreement, express or implied, is intended to or will confer upon any third party any right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.
13.12. Digital Millennium Copyright Act ("DMCA"). If you believe that Weldun or any user has violated a copyright, trademark, or other intellectual property right you hold, please contact Weldun at hello@weldun.co. Weldun responds to notices of alleged copyright infringement in accordance with the DMCA.
13.13. Survival. Any provisions that by their nature should survive termination or expiration of these Terms, including but not limited to terms relating to payment obligations, intellectual property, Aggregate Data rights, disclaimers, limitations of liability, indemnification, and arbitration, shall survive.
